Terms and Conditions
These Terms and Conditions ("Terms") govern your use of MakeFolio ("Service").
The Service is operated by Ezra Cunningham, trading as MakeFolio ("we", "us", "our"). MakeFolio is operated as a sole trader business and is not a limited company. Contracts under these Terms are entered into with Ezra Cunningham personally.
1. Definitions
- Account means a registered account used to access the Service.
- Content means text, data, files, images, software, and other materials.
- User Content means content you upload, submit, store, or share through the Service.
- Subscription means a paid plan for access to the Service.
- Consumer means an individual acting mainly outside their trade, business, craft, or profession.
- Business User means a user acting in the course of trade, business, craft, or profession.
2. Eligibility
You may use the Service only if:
- you are at least 18 years old,
- you have legal capacity to enter into a binding contract, and
- your use of the Service is not prohibited by applicable law.
If you use the Service for an organisation, you confirm that you are authorised to bind that organisation to these Terms.
3. Account registration
You must provide accurate, current, and complete information when creating an Account and keep it updated.
You are responsible for maintaining the confidentiality of your login details and for all activity that occurs under your Account. You must notify us promptly at help@make-folio.com if you suspect unauthorised use.
4. User Content licence
You retain ownership of your User Content.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, and display your User Content only as needed to provide, maintain, secure, and support the Service, and to comply with legal obligations.
You confirm you have all rights needed to submit User Content and that it does not breach law or third-party rights.
5. Acceptable use
You must not:
- use the Service for unlawful, fraudulent, or harmful activity,
- upload malware, viruses, or malicious code,
- interfere with the security, integrity, or performance of the Service,
- attempt unauthorised access to systems or data,
- infringe intellectual property, privacy, or other rights,
- use the Service to send spam or abusive communications.
We may investigate suspected breaches and take appropriate action.
6. Fees and billing via Stripe
Pricing model: recurring subscription, cancel anytime, currently GBP 30/year after any free trial.
Subscription fees are payable in advance unless stated otherwise. Payments are processed by Stripe and you authorise Stripe to charge your selected payment method. You must provide and maintain valid billing details.
We do not store full payment card details. Prices shown at checkout include or exclude VAT as stated there.
7. Renewals
Where your plan is recurring, it renews automatically at the end of each billing period unless cancelled before renewal.
You can cancel renewal through your account settings. Cancellation takes effect at the end of the current paid period unless stated otherwise.
We may change pricing for future billing periods by giving reasonable notice. If you do not agree, you may cancel before the next renewal.
8. Domain registration and transfer
Registrant
When you purchase or transfer a domain through MakeFolio, the domain is registered in the name of Ezra Cunningham, trading as MakeFolio, as registrant with the registrar (Namecheap). WHOIS privacy is enabled by default. You receive a right to use the domain in connection with the Service for the duration of your registration. If your account is closed or terminated, we will, on request, provide you with the information needed to transfer the domain to another registrar.
Renewal and expiry
Domains are registered for a fixed initial term (typically one year). We will send you reminder emails before expiry. If a domain is not renewed before it expires, it may lapse and become available to third parties. Renewal pricing will be communicated to you before each renewal period. You are responsible for ensuring your account email address is current so that renewal reminders are received.
Transfer out
You may request to transfer your domain away from MakeFolio at any time by contacting help@make-folio.com. We will provide an authorisation (EPP/auth) code and unlock the domain within a reasonable time. Transfer-out is subject to applicable registrar and ICANN/registry rules.
Transfer in — warranty
By initiating a domain transfer into MakeFolio, you confirm that you are the authorised registrant (or an authorised representative of the registrant) of the domain, that the domain is eligible for transfer, and that the transfer authorisation (EPP/auth) code you provide is correct.
Acceptable use
Your use of a domain registered or transferred through MakeFolio must comply with these Terms and with the registrar's registration agreement and applicable ICANN and registry policies. MakeFolio may suspend or revoke a domain registration in response to a valid legal request or where the domain is used in violation of applicable rules.
9. Refunds
New customers may request a refund of their first paid subscription within 14 calendar days of the initial payment date.
Renewal payments may also be refunded if requested within 14 calendar days of the renewal payment date.
Requests made after the applicable 14 day refund window are non-refundable, except where required by UK law.
Nothing in these Terms affects your statutory rights as a consumer under UK law.
10. Suspension and termination
We may suspend or terminate access to the Service if:
- you materially or repeatedly breach these Terms,
- your use poses a security, legal, or operational risk, or
- payment is overdue and remains unpaid after notice.
You may stop using the Service at any time and may request account closure by contacting help@make-folio.com.
11. Intellectual property
All intellectual property rights in the Service, including software, branding, design, and documentation, are owned by or licensed to Ezra Cunningham trading as MakeFolio.
Except for limited rights to use the Service under these Terms, no rights are transferred to you.
12. Limitation of liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.
Subject to the above, we are responsible for foreseeable loss caused by our breach of these Terms or failure to use reasonable care and skill. We are not liable for losses that are not foreseeable.
If you are a Business User, we are not liable for indirect or consequential loss, loss of profits, loss of business, loss of goodwill, or loss of data.
Our total aggregate liability arising from or in connection with the Service is limited to the total amount you paid for the Service in the 12 months before the event giving rise to the claim, or GBP 100 if no fees were paid.
13. Governing law
These Terms and any dispute or claim, including non-contractual disputes or claims, are governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction, except that consumers resident in other parts of the UK may also bring proceedings in their local courts where required by law.
